Section 01

Agreement to Terms & Acceptance

These Terms and Conditions constitute a legally binding agreement between you (whether individually or on behalf of an entity, corporation, or business organization, referred to as "Subscriber", "Customer", "User", or "You") and Invenrix Inventory Management (referred to as "Company", "We", "Us", or "Our"), concerning your access to and use of the Invenrix Inventory Management Point of Sale (POS) software, web dashboard, mobile applications, APIs, offline engines, and cloud hosting infrastructure (collectively, the "Service").

By subscribing to our Service, clicking "I Agree", registering an administrator account, processing sales transactions, or accessing our systems in any form, you expressly confirm that you have read, understood, and agreed to be bound by all of these terms. If you do not agree with all of these terms and conditions, you are strictly prohibited from using the Service and must immediately cease all access.

Important Note for Business Owners: If you are entering into this agreement on behalf of a company, partnership, or other legal entity, you represent and warrant that you possess full legal authority to bind that entity to these Terms.
Section 02

Account Registration, Authentication & Security

To use Invenrix Inventory Management, you must register a business account by providing accurate, current, and complete corporate and contact information. You are solely responsible for all activities occurring under your administrative and sub-user accounts (such as cashier registers, store managers, accountants, and stock keepers).

  • Credential Confidentiality: You must safeguard all administrator logins, passwords, PIN codes, API keys, and two-factor authentication credentials. Sharing root access with unauthorized personnel is strictly prohibited.
  • Granular Role Assignment: You are responsible for ensuring that staff roles (Cashier, Store Manager, Auditor) are granted only the minimum necessary permissions required to fulfill their duties.
  • Immediate Incident Notification: You agree to notify us immediately at atoz@gmail.com upon discovery of any suspected unauthorized access, data breach, or compromised credentials.
  • Audit Logs: The platform maintains immutable logs of register openings, closings, voids, discount overrides, and cash drawer reconciliations for forensic and accountability purposes.
Section 03

POS Software License & Scope of Use

Subject to your continuous compliance with these Terms and timely payment of applicable subscription fees, Invenrix Inventory Management grants you a non-exclusive, non-transferable, revocable, worldwide license to access and operate our Software as a Service (SaaS) platform for your internal commercial operations.

Licensing tiers determine the maximum number of simultaneous register terminals, physical retail locations, warehouse locations, and concurrent staff accounts allowed under your subscription. Operating registers exceeding your subscribed tier may result in automatic tier adjustment or terminal locking.

Access to REST APIs and webhook integrations for third-party e-commerce, ERPs, accounting software, and payment gateways is governed by our rate-limiting policies. Reverse engineering, decompiling, or attempting to derive source code from proprietary modules is strictly prohibited.
Section 04

Subscriptions, Invoicing, Billing & Refunds

Our Service is offered on subscription billing models (monthly, quarterly, or annually) as well as custom enterprise quotes. You agree to pay all fees associated with your chosen plan in the specified currency.

  • Recurring Auto-Renewal: Subscription plans automatically renew at the end of each billing cycle unless cancelled through your account billing settings at least 7 days prior to renewal.
  • Applicable Taxes & Duties: All stated prices are exclusive of applicable Sales Tax, Value Added Tax (VAT), or other governmental levies unless explicitly indicated. The Customer is responsible for remitting all applicable local taxes.
  • Late Payments & Grace Periods: If automatic payment processing fails, a 5-day grace period is provided. If payment remains outstanding thereafter, account access may be restricted to read-only mode until balances are cleared.
  • Refund Policy: Due to the digital SaaS nature of the platform and immediate provisioning of cloud databases, subscription payments are non-refundable once a billing cycle commences, except where mandated by statutory consumer protection law. Free trials and demo environments are provided to evaluate the software prior to commitment.
Section 05

Data Privacy, Customer Confidentiality & Cloud Sync

We believe in absolute transparency regarding your commercial data. You retain 100% ownership of all business records, inventory catalogs, pricing structures, customer lists, and transaction histories uploaded into Invenrix Inventory Management.

We implement bank-grade encryption protocols (AES-256 at rest and TLS 1.3 in transit) across all cloud databases, ensuring your proprietary sales figures, profit margins, and customer contact details remain completely confidential.

Data Compliance Commitment: We adhere to international privacy principles including GDPR and local data protection regulations. We will never sell, lease, or monetize your store data or customer transaction records to any third-party advertisers or aggregators.

You grant us a limited, revocable license solely to host, backup, index, and process your store data as strictly required to deliver the POS functionality, generate real-time analytics, and provide technical troubleshooting.

Section 06

Hardware, Peripherals & Offline Synchronization

Invenrix Inventory Management supports a wide variety of industry-standard POS hardware, including thermal receipt printers (ESC/POS), barcode/QR scanners, cash drawers, customer displays, and payment terminal gateways.

  • Offline Mode Operations: In the event of internet service provider interruptions, our offline-enabled modules continue to record cash and approved offline sales locally. Once internet connectivity is restored, transactions automatically synchronize with the central cloud database.
  • Peripheral Compatibility: While we maintain extensive compatibility drivers, the Customer is responsible for procuring certified hardware and ensuring operating systems (Windows, Android, iOS, macOS) meet our minimum published system requirements.
  • Local Cash Drawer Safety: Reconciliations, physical cash counts, drawer variances, and cash drawer kick integrity are the sole responsibility of the Subscriber and its appointed managers.
Section 07

Acceptable Use & Prohibited Activities

You agree to utilize the platform strictly in accordance with applicable municipal, state, federal, and international laws. You agree NOT to:

  1. Use the Service to process unlawful transactions, fraudulent billing, contraband sales, or illicit money transmission;
  2. Interfere with, overburden, or attack server clusters through automated crawlers, denial-of-service (DoS) tools, or vulnerability exploits;
  3. Attempt to bypass license restrictions, device limits, or multi-tenant database boundaries;
  4. Resell, sublicense, white-label, or redistribute access to the software without express written enterprise authorization from Invenrix Inventory Management;
  5. Upload malicious payloads, ransomware, Trojan scripts, or corrupted files into the system;
  6. Forge receipt serials or manipulate fiscal tax audit trail numbers to evade tax authorities.
Section 08

Intellectual Property & Proprietary Rights

All software architectures, user interface designs, logos, graphic assets, database schemas, proprietary algorithms, predictive inventory models, documentation, and underlying codebases powering Invenrix Inventory Management are and remain the exclusive intellectual property of the Company and its licensors.

Nothing in these Terms conveys any ownership rights or title to the software to you. All rights not expressly granted to the Customer are reserved by Invenrix Inventory Management.

Section 09

Service Availability, Maintenance & SLA (99.9% Uptime)

We strive to maintain a 99.9% Service Level Agreement (SLA) uptime across all cloud clusters and high-availability database nodes.

  • Scheduled Maintenance Windows: Essential upgrades, database optimizations, and security patches are scheduled during low-traffic off-peak hours (typically 02:00 โ€“ 04:00 AM UTC) with advance dashboard notice whenever possible.
  • Emergency Patches: Critical zero-day security mitigations may be deployed immediately without prior notice to protect the network.
  • Automated Redundancy: Daily automated multi-region backups ensure fast restoration capabilities in the event of upstream cloud provider incidents.
Section 10

Disclaimers & Limitation of Liability

Important Legal Disclaimer: The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular commercial purpose, or error-free operation.

To the maximum extent permitted by applicable law, in no event shall Invenrix Inventory Management, its directors, officers, employees, affiliates, or agents be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages โ€” including loss of profits, goodwill, business interruption, stock shrinkage, or lost revenue โ€” arising out of or in connection with the use or inability to use the POS Service.

In all cases, our aggregate liability for any claims arising under these terms shall be capped at the total amount actually paid by you to Invenrix Inventory Management during the three (3) months immediately preceding the event giving rise to liability.

Section 11

Indemnification & Hold Harmless

You agree to defend, indemnify, and hold harmless Invenrix Inventory Management, its parent company, subsidiaries, affiliates, officers, directors, agents, and employees from and against any claims, liabilities, damages, judgments, awards, losses, costs, or legal fees arising out of:

  • Your violation of these Terms or applicable retail/tax regulations;
  • Any commercial transaction, sale of defective merchandise, or dispute between you and your retail end-customers;
  • Your infringement of any third-party intellectual property or privacy rights;
  • Unauthorized access caused by your failure to protect login credentials or API keys.
Section 12

Termination, Cancellation & Data Retention

You may cancel your subscription at any time from your account settings. Upon cancellation, your subscription will remain active until the conclusion of the current prepaid billing period.

  • Data Export Window: Upon cancellation or termination, you will have a thirty (30) day grace period to export your entire inventory, transaction history, customer registers, and ledger logs in standard formats (CSV, Excel, JSON).
  • Post-Termination Deletion: After 30 days following subscription termination, we reserve the right to permanently purge store databases from active servers, retaining only anonymized logs required for legal, regulatory, or tax compliance audits.
  • Immediate Termination for Cause: We reserve the right to immediately suspend or terminate your account without notice in the event of material breach of these terms, fraud, or non-payment.
Section 13

Governing Law, Arbitration & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which the Company is registered, without giving effect to any principles of conflicts of law.

Any dispute, controversy, or claim arising out of or relating to this contract, including its formation, validity, breach, or termination, shall first be submitted to informal amicable negotiation between executives of both parties for thirty (30) days. If unresolved, disputes shall be finally settled under the rules of commercial arbitration.
